Welcome, and thank you for your interest in AARIF LLC ("Wajda," "we," "our," or "us") and our platform available at wajda.app, including any subdomains or branded ordering pages powered by Wajda (collectively, the "Platform"). These Terms of Service are a legally binding contract between you and Wajda regarding your use of the Platform.

PLEASE READ THE FOLLOWING TERMS CAREFULLY.

BY ACCESSING OR USING THE PLATFORM — WHETHER AS A RESTAURANT PARTNER SUBSCRIBING TO OUR SERVICES OR AS AN END CONSUMER PLACING AN ORDER THROUGH A RESTAURANT'S BRANDED PAGE — YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND, AS A CONDITION OF YOUR USE, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE, INCLUDING OUR PRIVACY POLICY (COLLECTIVELY, THESE "TERMS"). IF YOU DO NOT AGREE TO THESE TERMS, YOU DO NOT HAVE PERMISSION TO USE THE PLATFORM.


1. Overview

Wajda is a white-label direct ordering platform that enables independent restaurants ("Restaurant Partners") to accept online delivery orders from their customers ("End Consumers") through a branded ordering page, without relying on third-party marketplaces. Wajda provides the software infrastructure — including menu management, order management, payment processing, SMS and email notifications, and delivery coordination — on behalf of Restaurant Partners.

These Terms apply to two categories of users:

  • Restaurant Partners — businesses that subscribe to and use the Wajda platform to receive direct orders.
  • End Consumers — individuals who place orders through a restaurant's Wajda-powered ordering page.

Certain sections of these Terms apply specifically to one category and are labeled accordingly. All other provisions apply to both.


2. Wajda Is a Technology Platform, Not a Restaurant or Delivery Service

2.1 Not a Restaurant

Wajda is a software technology company. We do not prepare, sell, or handle food. Restaurant Partners operate independently of Wajda and are solely responsible for compliance with all applicable federal, state, and local laws governing the preparation, pricing, labeling, marketing, and sale of food, including food safety and allergen disclosure requirements. Wajda does not verify Restaurant Partners' compliance with any such laws, does not guarantee the quality or safety of any food or products offered through the Platform, and is not liable for any Restaurant Partner's acts or omissions.

2.2 Not a Delivery Service

Wajda does not provide delivery services. Delivery of orders placed through the Platform may be fulfilled by third-party delivery providers (currently DoorDash Drive) on behalf of Restaurant Partners. Wajda makes no promises or guarantees with respect to delivery times, delivery quality, or any other aspect of the delivery service. Any issues relating to delivery should be directed to the Restaurant Partner.


3. Eligibility

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that: (a) you are at least 18 years old; (b) you have not previously been suspended or removed from the Platform; and (c) your use of the Platform complies with all applicable laws and regulations.

If you are registering as a Restaurant Partner on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" in these Terms include both you individually and the entity you represent.


4. Restaurant Partner Terms

This section applies to businesses that subscribe to the Wajda platform.

4.1 Account Registration

To access the Wajda platform as a Restaurant Partner, you must create an account and provide accurate, complete, and up-to-date information about your business, including your restaurant name, address, banking details for payouts, and tax identification information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. If you suspect unauthorized access to your account, you must notify us immediately at contact@wajda.app.

4.2 Subscription Fees and Billing

Access to the Wajda platform is subject to a monthly subscription fee based on the volume of orders processed through your branded ordering page:

  • A minimum monthly fee of $29.00 applies when your total delivered order value for the month is less than $1,000.
  • Once your total delivered order value for the month is $1,000 or more, a platform fee of 3% applies to the entire delivered order value for that month — not just the portion above $1,000. The $29.00 minimum fee does not apply in months where the 3% fee is triggered.
  • The maximum monthly fee is $1,500.00, regardless of delivered order volume.

Fees are calculated on delivered orders only. Orders that are cancelled or not fulfilled are excluded from fee calculations. All fees are in US Dollars and are non-refundable except as expressly stated in these Terms.

By subscribing, you authorize Wajda and its payment processor (currently Stripe) to charge the applicable fees to your payment method on file on a recurring monthly basis. You are responsible for keeping your payment information current. Failure to pay fees when due may result in suspension or termination of your access to the Platform.

4.3 Restaurant Partner Obligations

As a Restaurant Partner, you agree to:

  • Maintain accurate and up-to-date menu information, including item descriptions, pricing, and allergen information, within the Wajda platform.
  • Comply with all applicable laws and regulations, including those governing food preparation, food safety, licensing, taxation, and marketing.
  • Honor all orders received and confirmed through the Platform in a timely manner.
  • Refrain from posting false, misleading, or deceptive information about your products or business.
  • Promptly address any End Consumer complaints relating to your food, service, or fulfillment.
  • Not use the Platform to engage in any fraudulent activity or to process orders that you have no intention of fulfilling.

4.4 Customer Data and Ownership

A core value of the Wajda platform is that End Consumer data generated through your branded ordering page belongs to you, not to Wajda. Wajda collects and processes End Consumer data solely to operate and improve the Platform and to provide services to you. Wajda will not sell your customers' data to third parties or use it for marketing purposes that benefit competing restaurants.

You are responsible for ensuring that your use of End Consumer data collected through the Platform complies with all applicable privacy laws, including any required disclosures in your own privacy policy. You may not use End Consumer data collected through the Platform to engage in unlawful marketing, harassment, or any conduct that violates applicable law.

4.5 Branded Ordering Page

Wajda grants you a limited, non-exclusive, non-transferable license to use the Wajda platform to operate your branded ordering page during the term of your subscription. You may customize your ordering page with your restaurant's name, logo, and branding, subject to Wajda's guidelines. You retain ownership of your brand assets. Wajda retains all rights to the underlying platform technology.

4.6 Stripe Connect and Payouts

Payments from End Consumers are processed through Stripe Connect. By using the payment features of the Platform, you agree to Stripe's Connected Account Agreement and Terms of Service (available at stripe.com). Wajda is not responsible for any errors, delays, or failures in payment processing attributable to Stripe. Payout timing is subject to Stripe's standard processing schedules.

4.7 Subscription Term and Cancellation

Your subscription begins on the date you first activate your account and renews monthly unless cancelled. You may cancel your subscription at any time by contacting us at contact@wajda.app. Cancellation will take effect at the end of your then-current billing period, and you will not receive a prorated refund for the unused portion of that period. Upon cancellation, your access to the Platform will terminate at the end of the billing period, and your branded ordering page will be taken offline.


5. End Consumer Terms

This section applies to individuals who place orders through a restaurant's Wajda-powered ordering page.

5.1 Placing Orders

When you place an order through a restaurant's branded ordering page, you are entering into a transaction directly with the Restaurant Partner — not with Wajda. Wajda facilitates the transaction on the restaurant's behalf but is not a party to the sale of any food or products.

Before submitting your order, you will have the opportunity to review the items in your cart, applicable fees, and the total amount you will be charged. By submitting your order, you confirm that you have reviewed and accept the total charge.

5.2 Payment

Payments are processed securely through Stripe. All amounts are in US Dollars. By placing an order, you authorize the charge of the applicable amount — including the order total, applicable delivery fees, and any taxes — to your designated payment method.

Wajda does not store your full payment card details. Payment card data is handled by Stripe in accordance with PCI-DSS standards.

5.3 Delivery

Delivery of your order is fulfilled by a third-party delivery provider (currently DoorDash Drive) on behalf of the Restaurant Partner. Wajda does not control delivery operations and is not responsible for delivery delays, errors, or failures. For issues related to delivery, please contact the restaurant directly.

5.4 Refunds and Cancellations

Refund and cancellation policies are set by the Restaurant Partner. Wajda does not control and is not responsible for any restaurant's refund or cancellation policy. If you have a dispute about an order, please contact the restaurant directly. Wajda may, at its discretion, assist in resolving disputes between End Consumers and Restaurant Partners but has no obligation to do so.

5.5 Food Allergies and Dietary Restrictions

You are solely responsible for verifying that any food or products you order meet your dietary requirements and are safe for you to consume. Restaurant Partners are responsible for accurate allergen disclosures. Wajda makes no representations regarding the ingredients, allergens, or nutritional content of any food offered through the Platform. If you have a severe food allergy, please contact the restaurant directly before placing your order.

5.6 Guest Checkout and Returning Customers

You may place orders as a guest without creating an account. If you have ordered previously, your contact and delivery details may be saved in your browser to make future orders more convenient. This data is stored locally on your device and is not transmitted to Wajda servers beyond what is necessary to process your order.


6. Communications

6.1 SMS Notifications

By providing your phone number when placing an order, you consent to receive transactional SMS messages related to your order (such as order confirmation, preparation updates, and delivery status). These messages are sent on behalf of the Restaurant Partner via Wajda's SMS infrastructure (currently powered by Twilio). Standard message and data rates may apply. To opt out of SMS messages, reply STOP to any message. To receive help, reply HELP.

6.2 Email Notifications

By providing your email address when placing an order, you consent to receive transactional email messages related to your order (such as order confirmation receipts). These emails are sent on behalf of the Restaurant Partner.

6.3 Marketing Communications

Restaurant Partners may send you marketing or promotional communications separately, subject to your consent. Wajda is not responsible for the content of any marketing communications sent by Restaurant Partners. To opt out of marketing communications from a Restaurant Partner, follow the unsubscribe instructions in those messages.

6.4 Push Notifications

If you opt in to push notifications through your browser or device, you may receive order status updates. You can withdraw this consent at any time through your browser or device settings.


7. Intellectual Property

The Platform, including its visual design, software, code, trademarks, and all related materials ("Wajda Materials"), is owned by AARIF LLC and protected by applicable intellectual property laws. Except for the limited license granted to Restaurant Partners under Section 4.5, no license to Wajda Materials is granted by these Terms. You may not reproduce, distribute, modify, create derivative works of, reverse engineer, or otherwise exploit any Wajda Materials without our prior written consent.

You retain ownership of any content you submit to the Platform (such as menu items, images, and business information). By submitting such content, you grant Wajda a worldwide, non-exclusive, royalty-free license to use, display, and reproduce that content solely for the purpose of operating and improving the Platform.


8. Prohibited Conduct

By using the Platform, you agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable local, state, national, or international law.
  • Submit false, misleading, or fraudulent information, including false order information or impersonating another person or business.
  • Interfere with or attempt to disrupt the Platform's security, functionality, or integrity, including by uploading malicious code, conducting denial-of-service attacks, or attempting to access accounts or systems without authorization.
  • Scrape, crawl, or systematically extract data from the Platform without Wajda's express prior written consent.
  • Use the Platform to engage in any form of harassment, abuse, or conduct that is harmful to others.
  • Resell, sublicense, or otherwise transfer access to the Platform to any third party without Wajda's prior written consent.
  • Attempt to circumvent any payment, fee, or access control mechanism of the Platform.

9. Third-Party Services

The Platform integrates with third-party services including Stripe (payment processing), DoorDash Drive (delivery), and Twilio (SMS). Your use of these services through the Platform is subject to their respective terms of service and privacy policies. Wajda is not responsible for the acts or omissions of any third-party service provider. Links to third-party terms are provided for convenience; Wajda does not endorse and is not responsible for any third-party content or services.


10. Modification of These Terms

We reserve the right to update these Terms at any time. If we make a material change, we will provide notice by updating the "Last Updated" date at the top of this page and, where appropriate, by sending an email notification to Restaurant Partners. Your continued use of the Platform after notice of a material change constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and, if applicable, cancel your subscription.


11. Modification and Discontinuation of the Platform

Wajda reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice. We will not be liable to you for any modification, suspension, or discontinuation of the Platform, except that Restaurant Partners will receive at least 30 days' notice before permanent discontinuation of the Platform, sufficient to allow for data export.


12. Term and Termination

These Terms are effective from the date you first access or use the Platform and remain in effect until terminated.

Termination by You: Restaurant Partners may terminate their subscription at any time as described in Section 4.7. End Consumers may cease use of the Platform at any time.

Termination by Wajda: Wajda may suspend or terminate your access to the Platform at any time if you violate these Terms, fail to pay applicable fees, or for any other reason at Wajda's sole discretion, with or without notice.

Effect of Termination: Upon termination, your right to use the Platform ceases immediately. Sections 2, 4.4, 7, 8, 13, 14, 15, 16, and 17 survive termination.


13. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless AARIF LLC and its officers, directors, employees, agents, and affiliates (collectively, the "Wajda Parties") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights; or (e) in the case of Restaurant Partners, any claim by an End Consumer arising from your food, products, service, or fulfillment.


14. Disclaimers; No Warranties

THE PLATFORM AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WAJDA DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WAJDA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS.

WAJDA DOES NOT WARRANT AND IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, ACCURACY, OR LEGALITY OF ANY FOOD OR PRODUCTS OFFERED BY RESTAURANT PARTNERS, OR FOR THE TIMELINESS OR QUALITY OF ANY DELIVERY SERVICES PROVIDED BY THIRD-PARTY DELIVERY PROVIDERS.


15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE WAJDA PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WAJDA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE WAJDA PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO WAJDA IN THE SIX MONTHS PRECEDING THE CLAIM; OR (B) $100 USD.

THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION AND WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.


16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

16.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact Wajda at contact@wajda.app and provide a written description of the dispute, the harm suffered, and the relief sought. The parties will attempt to resolve the dispute informally for a period of 30 days from the date of notice.

16.3 Binding Arbitration

If the dispute is not resolved informally, you and Wajda agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court — except as provided in Section 16.4. The arbitration will take place in Sheridan County, Wyoming, or by remote hearing if mutually agreed. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

BY AGREEING TO THESE TERMS, YOU WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.

16.4 Exceptions to Arbitration

Either party may bring an individual claim in small claims court. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent or enjoin infringement of intellectual property rights.

16.5 No Class Actions

All claims must be brought in your individual capacity. Neither you nor Wajda may act as a class representative or participate in a class action or consolidated proceeding with respect to any claim covered by these Terms.

16.6 Opt-Out

You may opt out of the binding arbitration provision by sending written notice to AARIF LLC, 30 N Gould St Ste R, Sheridan, WY 82801 within 30 days of first accepting these Terms. Your notice must include your full name, email address, and a clear statement that you wish to opt out of arbitration.


17. Miscellaneous

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and Wajda with respect to your use of the Platform and supersede all prior agreements and understandings.

17.2 Assignment

You may not assign or transfer any rights or obligations under these Terms without Wajda's prior written consent. Wajda may assign these Terms at any time, including in connection with a merger, acquisition, or sale of assets.

17.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

17.4 Waiver

Wajda's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

17.5 Consent to Electronic Communications

By using the Platform, you consent to receiving electronic communications from Wajda. Any notices, agreements, or disclosures we provide electronically satisfy any legal requirement that such communications be in writing.

17.6 International Use

The Platform is intended for use within the United States. Wajda makes no representation that the Platform is appropriate or available for use in other jurisdictions. Access to the Platform from locations where such access is illegal is prohibited.
